Terms and Conditions

These Terms and Conditions ("Terms") govern your use of nexiitechsolutions.com, the services of Nexii Tech Solutions Inc., and the Nexii Play booking platform. By using our website, accepting a quotation, creating an account, or making a booking, you agree to these Terms.

1. Who We Are

Nexii Tech Solutions Inc. ("Nexii Tech," "we," "us," or "our") is a corporation registered with the Securities and Exchange Commission of the Philippines, based in Imus, Cavite, Philippines. We provide business automation, website development, and custom software systems, and we operate Nexii Play, an online court booking platform for sports venues.

2. Our Services

• IT services — business automation, website development, and custom systems, delivered under a written quotation or agreement for each project.
• Nexii Play for venues — a monthly subscription that lets a sports venue manage courts, schedules, prices, and bookings, and publish its own booking website.
• Nexii Play for players — free tools that let players find available courts, book them, and pay the venue.

3. Accounts

You must give accurate information when you create an account and keep your login details secure. You are responsible for activity under your account. Business accounts must be opened by a person authorized to act for the business. You must be at least 18 years old to create an account or make a payment.

4. IT Services: Quotations and Payment

• Each project is described in a written quotation that states the scope, price, payment schedule, and timeline. The quotation forms part of these Terms for that project.
• Work starts after the quotation is accepted and the downpayment stated in it is received. Remaining payments are due at the milestones stated in the quotation.
• Changes to the agreed scope are quoted separately before we do the extra work.
• Ownership of the deliverables and any ongoing support or hosting terms are stated in the quotation.

5. Nexii Play Subscriptions for Venues

• Free trial. New venues get a 14-day free trial. No card is required to start the trial.
• Plans and prices. Starter ₱999 per month, Pro ₱2,999 per month, and Business ₱4,999 per month. Plan features are listed on our Nexii Play page.
• Billing. Subscriptions are billed monthly in advance. If a payment is not received, online booking for the venue may be paused until the account is settled; the venue keeps access to its records.
• Price changes. We will give at least 30 days' notice before changing the price of a plan you are subscribed to.
• Cancellation. You may cancel at any time. Your plan stays active until the end of the period you have paid for. See our Cancellation and Refund Policy.
• Commission. Nexii Play does not take a commission on court bookings. Payment processing fees charged by the payment provider still apply.

6. Nexii Play Court Bookings

• The booking is with the venue. When a player books a court, the agreement for use of the court is between the player and the venue. Nexii Tech provides the booking platform and is not the operator of the venue.
• Prices. Court prices are set by each venue and shown before the player pays.
• Holds. When a player selects a time, the court is held for 10 minutes so the player can complete payment. If payment is not completed in time, the hold ends and the court becomes available to others.
• Payment. Players pay the venue either online through our payment partner, Xendit, or directly to the venue (for example the venue's own GCash or bank account, or at the counter) where the venue allows it. A booking is confirmed when the venue receives payment or confirms the booking.
• Venue rules. Players must follow the venue's house rules, arrive on time, and use the court only for the booked period.
• Cancellations and refunds follow the venue's cancellation rule shown at booking and our Cancellation and Refund Policy.
• Venue obligations. Venues must give accurate information about their courts, prices, and availability, honor confirmed bookings, and complete Nexii Play's venue verification before accepting public online bookings.

7. Payments

Online payments are processed by Xendit, a licensed payment provider. Card and e-wallet details are entered on Xendit's secure page; Nexii Tech does not receive or store them. For Nexii Play court bookings, online payments settle to the venue, not to Nexii Tech. All prices are in Philippine pesos (PHP).

8. Acceptable Use

You must not use our website or platform to break the law, make false or fraudulent bookings or payments, interfere with the security or operation of our systems, access accounts or data that are not yours, or copy or resell our software without permission. We may suspend accounts that do.

9. Privacy

We handle personal data in line with the Data Privacy Act of 2012 (Republic Act No. 10173) and our Privacy Policy.

10. Availability and Changes

We work to keep our services available, but they may occasionally be interrupted for maintenance or for reasons outside our control. We may improve or change features over time. Material changes affecting paid plans will be announced in advance.

11. Limitation of Liability

To the extent allowed by Philippine law, Nexii Tech is not liable for indirect or consequential losses, such as lost profits or lost business. Our total liability for any claim relating to a service is limited to the amount you paid us for that service in the three (3) months before the claim. Nexii Tech is not responsible for the condition, safety, or operation of any venue listed on Nexii Play. Nothing in these Terms limits rights you have under the Consumer Act of the Philippines or other laws that cannot be excluded.

12. Suspension and Termination

You may stop using our services at any time. We may suspend or close an account that breaches these Terms, is used for fraud, or remains unpaid after notice.

13. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Disputes will first be discussed in good faith; if unresolved, they will be brought before the proper courts of Imus, Cavite, without prejudice to any mandatory consumer protection remedies.

14. Changes to These Terms

We may update these Terms. The date at the top of this page shows the latest version. Continued use of our services after an update means you accept the updated Terms.
